KTMs New Owner Takes Control After Major Acquisition
It has been in development for several months, but all the details are finalized, and two former subsidiaries now sport entirely new names.
Has the dust finally settled around everyone's favorite Austrian motorcycle company? Although there are likely more changes and developments ahead, one thing is certain as of November 18, 2025: Bajaj Auto International Holdings BV (BAIH), a subsidiary of Bajaj Auto Limited, has officially purchased all 50,100 shares of Pierer Bajaj AG (PBAG, and I'm not inventing that abbreviation).
Now, the complete structure of all the subsidiaries that once oversaw KTM may not immediately come to mind, which is completely understandable. I've referred to it as a corporate nesting doll on more than one occasion, and I don't see any reason to alter that description now since it's quite useful for grasping the concept.
Previously, Pierer Mobility AG and KTM were both subsidiaries of PBAG. Hence, Bajaj's complete acquisition of PBAG now means Bajaj officially holds a full controlling interest in both PMAG and KTM. In other words, to simplify: Bajaj is now in control of KTM.It's no longer about time; it's happened.
Unsurprisingly, as we were taught would occur not long ago, this also indicates that Bajaj has decided to rename some of the subsidiaries now under its ownership. What was previously known as Pierer Bajaj AG (the aforementioned PBAG) has now been renamed and should now be called Bajaj Auto International Holdings AG.
However, this is not the sole subsidiary name change that has been recorded. Pierer Mobility AG (PMAG) has also officially undergone a name change and will now be known as Bajaj Mobility AG (BMAG). Furthermore, Bajaj has informed its investors that the supervisory and management boards of all three subsidiaries (which are now BAIHAG, BMAG, and KTM) are being restructured with new members, who are expected to guide each entity according to their collective judgment.
Everything happened shortly after the whole proposal overcame its last remaining obstacle: The EU Commission ultimately chose not to launch any detailed investigations into the Bajaj acquisition under the current Foreign Subsidies Regulation. As per the company's previous name, Pierer Mobility, its disclosures to investors stated that this took place on November 10, 2025, and Bajaj was allowed to continue with the takeover starting from November 11, 2025, which it then carried out the following week after receiving approval.
